The Ledger
Cencora, the drug wholesaler, agreed Wednesday to buy American Oncology Network for a $2.4 billion enterprise value, adding a second oncology platform to its physician-practice portfolio. The structure, per the Cencora 8-K press release, is $2.3 billion at closing plus contingent value rights of up to $100 million, payable if unspecified conditions are met. Cencora already holds about 4% of American Oncology Network (AON), a physician-led network of more than 350 oncology providers in 21 states, and will buy the rest. Certain AON stockholders may roll over up to 25%, in which case Cencora expects to pay about $1.7 billion in cash to reach 75% ownership. The company expects the deal to add to adjusted earnings per share in the second year after closing. A special committee of independent AON directors recommended it unanimously. The release gives no per-share price, no premium and no closing date; it needs regulatory clearances and AON stockholder approval. Who it hits: independent oncology groups choosing between management services organization (MSO) partners, and the drugmakers and payers that negotiate with practices whose purchasing now sits inside a wholesaler. The release says the deal puts Cencora’s oncology MSO into twelve additional states. Confidence: High on terms as filed; Low on the closing timeline and antitrust path, neither of which is stated.
Elevance Health posted a third-quarter benefit expense ratio of 90.6%, down from 91.3% a year ago, while shedding Medicare Advantage and Medicaid members. The Elevance 8-K earnings release shows operating revenue of $50.4 billion, up just 0.7%, and adjusted diluted earnings per share of $6.99 versus $6.03. Full-year guidance is now adjusted EPS of at least $29.00 and operating cash flow of at least $6.5 billion; the release does not restate a full-year benefit expense ratio. Medical membership fell 1.1% to 44.9 million, with Medicare Advantage down 15.5% to 1.9 million and Medicaid down 4.9% to 8.2 million. Nine-month results include a $935 million charge, or $4.28 per share, for what Elevance calls its best estimate of exposure on historical Medicare Advantage risk adjustment data, tied to a Centers for Medicare and Medicaid Services (CMS) notice dated February 27, 2026. Nine-month favorable prior-year reserve development was $1.295 billion. Who it hits: hospitals and physician groups in Medicare Advantage and Medicaid markets where Elevance is narrowing its book. So what: the ratio improved on a smaller, repriced membership, not on revenue growth. Confidence: High on figures (primary filing); Med on the read that the shrinkage is deliberate.
Hologic agreed to buy Reveal Genomics, the Barcelona company behind the HER2DX breast cancer test, terms undisclosed. Per the Hologic business wire release (a wire copy; we did not reach Hologic’s investor site), HER2DX is designed to help optimize therapy for patients with HER2-positive breast cancer. Closing needs Spanish regulatory approval and customary conditions, with no timeline given. Hologic’s Diagnostic Solutions chief executive called the portfolio a strong complement to its existing oncology offering. Who it hits: oncology labs and breast cancer programs deciding which genomic tests to build into treatment pathways. No price means no read on valuation. Confidence: High on the agreement; Low on economics.
